The Virbac Group (“Virbac”) is a French international group that was founded over 50 years ago and is dedicated to the research, development, manufacture and marketing of products and services supporting animal health and well-being.

These values, which the Group is deeply imbued with today, were largely inspired by the permanent concern of its creator and its managers for a sustainable company which is a great place to work. Aware of our duties with regard to our customers, our employees and our Partners, the companies of the Virbac Group (hereinafter referred to as “Virbac”) have adopted demanding ethical rules, embodied in particular by its Code of Conduct and this Charter which are part of the CSR (Corporate Social Responsibility) approach and within the framework of Virbac’s integrity program.

Virbac expects its Business Partners (i) to carry out activities alongside, or for the benefit of Virbac and its customers in accordance with this Charter and in strict compliance with the laws and other rules applicable in the countries where they operate; (ii) to share Virbac’s ethical values, in particular those derived from the 10 principles of the United Nations Global Compact and the 8 fundamental Conventions of the International Labor Organization (ILO) listed in the appendix.

维克希望业务合作伙伴(i)与维克及其客户一同处理事务,或为维克及其客户利益行事时,依照本章程并严格遵从适用于经营所在国的法律和其他规定;(ii)践行维克的伦理准则,特别是附录中列示的、源自联合国全球契约十项原则和国际劳工组织(ILO)八项基本公约的准则。

This Charter is intended as guidance for our Business Partners on the rules and ethical practices to follow in their business relations with or for Virbac. In the event of any discrepancy between the provisions of this Charter and any applicable laws and regulations, the most restrictive provisions will apply.

本章程拟作为业务合作伙伴处理维克业务或为维克办理业务时所应遵循的准则和伦理行动指南。如果本章程条款和适用法律法规存在差异,以更为严格者为准。

BACKGROUND

背景

“Virbac Group” or “Virbac” refers to the parent company Virbac SA and its affiliates.

维克集团维克指母公司Virbac SA及其关联方。

“Business Partner” or “Partner” refers to any person or entity engaged in a business relationship with the Virbac Group. These include any supplier that provides the Virbac Group with products or services, subcontractors, commercial intermediaries, distributors and resellers, as well as any group, community, organization, school or entity with which the Virbac Group allies or associates, temporarily, to carry out a common action in a business, company, project or event (whether commercial, industrial, or technological). Use of the terms “Business Partner” and “Partner” are not intended to create or imply a legal partnership or similar legal relationship.

业务合作伙伴合作伙伴指与维克集团存在业务关系的任何个人或实体。合作包括向维克集团提供产品或服务的供应商、分包商、商业中间人、分销商和批发商,以及维克集团为在业务、公司、项目或事件(无论是商业、工业还是技术)中为一致行动而临时与之建立联盟或合伙的团体、群体、组织、学校或实体。使用术语业务合作伙伴合作伙伴并不是为了创建或默示存在法定合作伙伴关系或类似法律关系。

“Affiliate” means any entity, which either independently or by agreement with another party controls, is controlled by or is under common control with a Partner. “Control” meaning direct or indirect ownership of the majority of voting rights in regular general meetings, or the power to appoint the management of an entity.

关联方指独自或通过与另一方签订协议控制合作伙伴、被合作伙伴控制或与合作伙伴一同受到共同控制的实体。控制指在定期股东大会中直接或间接拥有多数表决权,或任命某一实体管理层的权力。

SCOPE AND APPLICATION

适用范围

This Charter applies to the Partners themselves as well as to their Affiliates and subcontractors involved in the activities carried out under the relationship with Virbac. This Charter applies in any contractual relationship between Virbac and its Partners. Virbac’s establishment or continuation of any contractual relationship with a Partner requires the Partner’s adherence to this Charter which defines the minimum non-negotiable minimum to be followed. By working with Virbac, the Partner accepts that this Charter applies to all contracts concluded between Virbac and the Partner, including those already in force.

本章程适用于合作伙伴以及因与维克间的关系而开展的活动中所涉及的关联方和分包商。本章程适用于维克与其合作伙伴达成的任何合同关系。合作伙伴遵守本章程是维克与其建立合同关系或继续执行合同关系的前提。本章程为最低标准,不容商议。与维克建立合作关系意味着本章程适用于维克与合作伙伴缔结的所有合同,包括已经生效的合同。

Virbac COMMITMENTS

维克承诺

1      Economic dependency. Virbac favors the establishment of a lasting relationship with its Partners but remains attentive to its own sustainability. To do this, Virbac pays particular attention to the risk of mutual dependence in its business relationships and expects each Partner to ensure that it does not find itself in a situation of economic dependence on Virbac.

2      Fairness and transparency. Virbac encourages and promotes fair competition between its Partners and ensures that their selection is made according to transparent and fair procedures, in particular through calls for tenders, consultations or referencing based on objective technical criteria, contractual, ethical and respectful treatment of personal data, risks, deadlines, capacity, availability, prices and more.

2      公平和透明。维克鼓励并推动合作伙伴之间开展公平竞争,并通过透明、公平的程序选择合作伙伴,尤其会以客观技术标准、是否遵照合同、伦理要求并心怀敬畏地处理个人数据、风险、截止日期、能力、可及性、价格为考量因素通过招标、磋商或推荐选择合作伙伴。

3      Payment deadlines. When dealing with Partners and in return for the goods provided and/or services they may provide, Virbac undertakes to respect the payment deadlines, previously negotiated and agreed, complying with the agreed upon terms and conditions and applicable legislation/regulations. Virbac expects the same from its distributors and resellers.

4      Litigation management. For any dispute or any possible claim to which a contract entered into with a Partner could give rise (relating to its validity, its interpretation, its execution or non-execution, or its termination), Virbac favors an attempt at amicable settlement between the parties, prior to any legal action, according to the following procedure (unless expressly agreed between the parties): at the written request of one of the parties indicating the elements of the dispute, the parties will meet as soon as possible, at the latest within 15 days following the request (or within the contractually agreed period) with a view to seeking an amicable solution to solve their dispute. The parties will participate in this conventional conciliation process in good faith and in a spirit of loyalty and cooperation. All intelligence/information exchanged during this procedure will be considered confidential.

4      诉讼管理。对于与合作伙伴签订合同所可能引起的争议或潜在索赔(涉及合同效力、解释、签署或不签署、或合同终止),维克倾向于在诉诸法律前根据以下程序友好解决(但双方另有明确约定的除外):应一方书面要求、说明争议原委后,双方应尽快会晤,最晚在要求发出后15天内(或在合同约定时间内),找到解决上述争议的友好解决方案。双方应本着精诚合作的精神参加本例行和解会议,一心一意解决问题,并相互包容。会晤中交换的所有情报/信息均应被视为保密信息。

5      Alert mechanism. Virbac promotes a culture of trust, based on ethics, transparency and compliance, and encourages its suppliers and Partners to share their concerns about situations or behaviors that go against the principles described in this Charter or the Code of Conduct of Virbac using the reporting channel https://virbac.besignal.com/.

5      预警机制。维克奉行建立在伦理、透明和合规之上的信任文化。如发现违反本章程或维克《行为准则》的情况或行为,维克鼓励供应商和合作伙伴通过举报渠道(https://virbac.besignal.com/)予以举报。

PARTNER COMMITMENTS

合作伙伴承诺

The Partner must comply with internationally accepted standards such as the United Nations (UN) Universal Declaration of Human Rights, the United Nations Conventions on the Rights of the Child and against Corruption, the OECD Guidelines for Multinational Enterprises on responsible Business Conduct and the applicable International Labor Organization (ILO) conventions. In addition, the Partner and its subcontractors will comply with the national legislation of each country in which they operate. If national law is stricter than UN or ILO conventions, national law must prevail.

合作伙伴必须遵守联合国(UN)《世界人权宣言》、《联合国儿童权利公约》和《反腐败公约》、经合组织《跨国企业负责任商业行为准则》和国际劳工组织(ILO)适用公约等国际通行标准。另外,合作伙伴及其分包商应遵守经营所在国的国家法律。如果国家法律严于UNILO公约,以国家法律为准。

1      Protection of information and respect of confidentiality

1      信息保护和保密

In accordance with applicable laws, the Partner must ensure the proper handling of sensitive information, including confidential information, personal data and data covered by intellectual property rights. The information may not be disclosed to a third party or used for purposes other than those established by the parties in the business relationship unless expressly authorized by the owner of the information or by a contractual stipulation expressly authorizing them to do so.

根据适用法律,合作伙伴必须确保妥善处理敏感信息,包括保密信息、个人数据和知识产权覆盖的数据。不得将信息披露给第三方,或将其用于双方在业务关系中确定的目的以外的其他目的,但信息所有人明确授权或合同条款明确授权的除外。

The Partner undertakes to (i) not use the information provided by Virbac other than in the context of business discussions conducted with Virbac, or performance of the agreements entered into with Virbac (ii) maintain the strictest confidentiality concerning all information exchanged within the framework of its relations with Virbac, (iii) put in place appropriate information protection measures allowing only authorized persons to have access to them and guaranteeing this information against any misuse. The Partner acknowledges that each Partner and Virbac remain the exclusive owner of the confidential information they have supplied to the other or that concerns its business or activities and holder of the related intellectual property rights unless otherwise expressly agreed between the Partner and Virbac.

合作伙伴承诺:(i)仅在与维克讨论业务或履行与维克签订的协议时方使用维克提供的信息;(ii)对在与维克关系框架下交换的所有信息实施最严格的保密措施;(iii)制定并执行恰当的信息保护措施,仅授权人员有权访问上述信息,并确保信息不会被滥用。合作伙伴认可,各个合作伙伴和维克为向其他方提供的或涉及其业务或活动的保密信息的独占所有人,和相关知识产权的所有人,但合作伙伴和维克另有明确规定的除外。

2      Compliance with laws, regulations and standards relating to business ethics

2      遵守法律、法规和商业伦理相关标准

The Partner declares that it knows and upholds the laws and regulations applicable to its activity, taking into account the nature and the field of the activity and its geographical perimeter. To do this, the Partner has obtained, holds and retains all the licenses, permits, and necessary authorizations for the conduct of its business and the same will be provided to Virbac upon request or during an audit carried out by Virbac.

合作伙伴声明,其知晓并遵守适用于其活动的法律法规,并充分了解业务互动的性质和领域及其地理范围。为实现合规经营,合作伙伴已获得、持有并保有开展业务所需的所有许可、执照和必要授权,并将根据要求或在维克审计期间将其提供给维克。

In addition, the Partner undertakes to comply with all the laws and regulations in force which apply to its activity and/or its business and in particular within the following scopes:

2.1       Fight against corruption and influence peddling

Virbac does not tolerate any form of corruption, whether active or passive, direct or indirect, or influence peddling and is firmly committed to fighting against these practices. Virbac expects the Partner to make an identical commitment both for itself and for its own Partners and to adopt behavior and ethical standards advocating integrity, loyalty and transparency. The Partner must comply with national and international anti-corruption laws, principles, standards and regulations.

维克不容忍任何形式的腐败,无论是主动还是被动,直接还是间接,或以权谋利,并坚决与之斗争。维克希望合作伙伴代表自己以及合作伙伴做出相同的承诺,并推行倡导诚信、忠诚和透明的行为和伦理标准。合作伙伴必须遵守国家和国际反腐败法律、原则、标准和法规。

To this end, Virbac strictly regulates the giving and receiving of gifts, business meals, invitations, and business trips in its Gifts & Hospitality Policy. In this regard, Virbac is particularly vigilant about compliance with the rules that govern its relations with healthcare providers (health professionals, health organizations, etc.). Any benefit or gift/hospitality, to the extent not prohibited, must be modest and of reasonable value, be of an exceptional nature and comply with local regulations in the countries in which the parties operate as well as Virbac Policy.

为此,维克在其《礼品&娱乐及其他款待政策》中对礼品、商务宴请、邀请和差旅的提供或接受做出了严格规定。在这方面,维克尤为重视遵守约束其与医疗保健提供者(医疗专业人士、医疗机构等)关系的规范。在未被禁止的前提下,任何利益或礼物/招待必须适度,价格合理,具有特殊意义,并符合双方运营所在国家的当地法规和维克政策。

Furthermore, the offer or acceptance of such benefits is prohibited in certain circumstances such as calls for tenders or contract negotiations/renewals. In any case, they must be made transparent and devoid of any effect of illegitimate or illicit influence on the person who carried it out. Failure to comply with these provisions by a Partner may lead to its exclusion from a call for tenders or the termination of the contract.

此外,招标或合同谈判/续约时,禁止提供或接受上述利益。任何情况下都必须保持透明,不对接受人产生任何不当或非法影响。如合作伙伴不遵守上述规定,可能会被排除招标程序,或与其签订的合同将被终止。

2.2       Abstaining from any practice constituting money laundering

The Partner guarantees that it, as well as its managers, or employees, permanently refrain from any practice directly or indirectly constituting money laundering, being reminded that money laundering consists in concealing the origin of a sum of money, acquired illegally by reinjecting it into a legal activity. The Partner declares that it has implemented processes and/or routines to avoid the occurrence of such risks.

合作伙伴保证,其自身及其管理人员或员工永远不会做出直接或间接构成洗钱的行为。洗钱指隐瞒以非法方式获得的金钱来源、将其重新投入合法活动的行为。合作伙伴声明,其已实施防止上述风险出现的流程和/或例行程序。

2.3       Compliance with international economic trade sanctions legislation

The Partner agrees to refrain from any activity that violates applicable international and national laws, regulations and standards relating to economic sanctions, including export controls, embargoes and other trade restrictions. This obligation applies throughout the duration of the contractual relationship with Virbac and will take into account the evolution of applicable laws, regulations and international and national standards, including United Nation sanctions, US sanctions, European sanctions and UK sanctions, wherever the Partner operates.

合作伙伴同意不会做出任何违反经济制裁相关国际和国家法律、法规和标准的行为,包括出口管制、禁运和其他贸易限制措施。与维克合同关系存续期间该义务始终适用,并应根据合作伙伴运营所在国家的适用法律、法规以及国际和国家标准(包括联合国制裁、美国制裁、欧洲制裁和英国制裁)做出调整。

2.4       Prevention of conflicts of interest

The Partner undertakes to avoid any conflict of interest, i.e., any situation consisting for it, its managers and employees, of being at the center of decision-making in relation with their activities with or for Virbac where their objectivity and neutrality could be called into question. If such a situation comes to its knowledge, the Partner undertakes to notify Virbac immediately and to immediately implement the appropriate measures to put an end to it and prevent its recurrence.

合作伙伴承诺避免出现利益冲突,即合作伙伴、其管理人员和员工在与维克开展业务活动或为维克开展业务活动时处于决策中心地位,但其客观性和中立性可能受到质疑的情况。如发现上述情况,合作伙伴承诺立即通知维克,并立刻采取恰当措施,解除利益冲突,并防止其再次发生。

2.5       Abstaining from anti-competitive behavior

The Partner undertakes to adopt lawful and fair business practices and to refrain from any anti-competitive behavior, i.e., any behavior that undermines the general interest of competition having an impact on the relevant market concerned, such as agreements, concerted practices or abuse of a dominant position.

合作伙伴承诺采用合法、公平的商业行为,不会采取反竞争行为,即损害竞争对手整体利益、影响相关市场的行为,比如协议、协同行为或滥用市场支配地位。

3      Respect for fundamental Human Rights

3      尊重基本人权

The Partner undertakes to comply with all internationally recognized laws, regulations and standards relating to human rights, fundamental freedoms, respect for individuals, health and safety, in particular the “International Universal Declaration of Human Rights” and the ‘Declaration of the International Labor Organization’ (ILO). This means that the Partner must respect fundamental human rights, social justice and human dignity, respect as well the equal rights of all people and treat its employees and contractors fairly and equitably. We also expect our Partners to have zero tolerance for child labor and forced labor, as well as for harassment or for discrimination.

合作伙伴承诺遵守与人权、基本自由、尊重个人、健康和安全有关的所有国际通行法律、法规和标准,特别是《世界人权宣言》和《国际劳工组织(ILO)宣言》。因此,合作伙伴必须尊重基本人权、社会正义和人格尊严,尊重人人权利平等,并公平公正地对待员工和承包商。维克同时希望合作伙伴对童工和强迫劳动以及骚扰或歧视采取零容忍态度。

3.1       Diversity, equal opportunity and respect for the individual

The Partner undertakes to respect and promote the principles of diversity and equal opportunity. The Partner is prohibited from any form of discrimination, including, but not limited to, discrimination based on ethnic, social or cultural origin, gender, age, physical characteristics, disability, religion, sexual orientation, marital status or union membership. The Partner is committed to maintaining a work environment where all employees are treated with dignity and respect.

合作伙伴承诺尊重和推动落实多样性和机会平等原则。严禁合作伙伴采取任何形式的歧视,包括但不限于基于种族、社会或文化出身、性别、年龄、身体特征、残疾、宗教、性取向、婚姻状况或工会成员身份的歧视。合作伙伴将不遗余力地创造一个所有员工受到尊重、享有尊严的工作环境。

3.2 Abstention from the use of forced labor, child labor, clandestine or concealed work, or any form of modern slavery

3.2       不使用/采用强迫劳动、童工、非法就业工人或任何形式的现代奴隶制。

The Partner is prohibited in all circumstances and in any way whatsoever, directly or indirectly, from resorting to forced labor, child labor or clandestine or concealed labor or any form of modern slavery. The work of children under 15 is strictly prohibited. In countries where local laws set a higher age for child labor or mandate compulsory education beyond the age of 15, this higher age will apply.

禁止合作伙伴在任何情况下以任何方式直接或间接使用/采用强迫劳动、童工、非法就业工人或任何形式的现代奴隶制。严禁使用15岁以下的童工。如所在国家当地法律为童工设置更高的年龄或义务教育年龄超过15岁,以更高年龄为准。

3.3       Compliance with the social rules in force

The Partner is committed to maintaining a work environment where all employees are treated with dignity and respect. As an employer, the Partner undertakes to comply with its tax and social obligations and to remunerate its employees in accordance with the laws/regulations in force. The Partner undertakes in particular to respect the social rules relating to social dialogue and trade union rights. The Partner undertakes to offer its employees a healthy working environment and to adopt appropriate preventive measures in terms of the health and safety of personnel and third parties.

合作伙伴将不遗余力地创造一个所有员工受到尊重、享有尊严的工作环境。作为雇主,合作伙伴承诺遵守纳税和社会义务,并根据现行法律/法规给予员工报酬。合作伙伴特别承诺尊重与社会对话和工会权利有关的社会规则。合作伙伴承诺为员工提供健康的工作环境,并针对人员和第三方的健康和安全采取恰当的预防措施。

3.4       Respect for personal data and privacy

The Partner undertakes to comply with applicable laws and regulations regarding the protection and security of personal data as well as respect for privacy. The Partner declares in particular that it has implemented and is continuing the necessary actions related to its compliance in this area, particularly with regard to the European Data Protection Regulation, if applicable.

合作伙伴承诺遵守有关个人数据保护和安全以及尊重隐私的适用法律法规。合作伙伴特别声明,其已实施并将继续采取与本领域合规相关的必要措施,特别是为满足《欧洲数据保护法》要求所采取的必要措施(如适用)。

4      Respect for the environment

Virbac has made reinforced commitments in terms of sustainable development and environmental issues are integrated into the process of thinking about new products and in general new significant assets such as buildings, equipments etc. We expect our Partners to be proactive and strategic in their work to contribute to a sustainable environment. In accordance with relevant laws and regulations, Partners must have or at least strive for a plan in which they aim to become more environmentally friendly and reduce their emissions of hazardous substances.

In their manufacture of goods, raw materials, packaging materials and products, Partners strive not to do anything to threaten the environment, biodiversity or human health.

维克已对可持续发展和环境问题投入大量资源,并将其融入到新产品构思过程。建筑、设备等新投资的重大资产亦处处体现出上述理念。维克希望合作伙伴主动做出改变,并制定策略,推动营造可持续发展环境。根据相关法律和法规,合作伙伴必须制定或至少努力制定一项计划,对环境更加友好,并降低有害物质的排放。

在货物、原材料、包装材料和产品的生产过程中,合作伙伴力求不做出任何威胁环境、生物多样性或人类健康的行为。

We expect our Partners to share our commitment to a clean and safe environment. We encourage initiatives aimed at reducing the impact on the environment, in particular through the use of environmentally friendly technologies. Therefore, the Partner will strive to achieve the best standards in terms of environmental protection by constantly seeking solutions, making improvements in terms of energy consumption, preservation of natural resources and biodiversity, limiting the production of waste and toxic substances and training employees whose work has a direct impact on the environment.

维克希望合作伙伴认同创造清洁、安全环境的重要意义,并与维克一同奋斗。维克支持以降低环境影响为目标的倡议,尤其支持通过使用环境友好型技术达到上述目的的倡议。因此,合作伙伴将持续寻找解决方案、降低能源消耗、改善自然资源和生物多样性保护工作、限制废物和毒性物质的产生,并对其工作将对环境产生直接影响的员工开展培训,努力将自己打造成环保标杆。

When the Partner is a supplier, it will ensure that it implements and provides a traceability system for its raw materials, products, packaging materials and services provided to or for Virbac. It is also responsible for ensuring that all information provided to Virbac is accurate and that the products meet the standards and quality indicated by it.

合作伙伴为供应商时,应确保对其向或为维克提供的原材料、产品、包装材料和服务落实并提供追溯制度。合作伙伴同时负责确保向维克提供的所有信息均准确无误,且产品符合标准和所宣称质量。

At Virbac’s request, the Partner will provide and report any environmental impact, information concerning the country of origin of the products and, in the event of Virbac’s reasonable suspicion that this Charter is violated, the list of subcontractors that the Partner uses in the context of operations.

应维克要求,合作伙伴应提供并报告环境影响、产品原产地相关信息,以及合作伙伴在运营活动中使用的分包商名单(如果维克合理怀疑存在违反本章程的行为)。

5      Compliance with the Charter by the Business Partner and its subcontractors or its business partners

As part of its business relationship with Virbac, the Partner undertakes to respect and ensure compliance with this Charter by all its subcontractors, service providers and other business partners. The Partner undertakes to transmit to them the principles detailed in this Charter and to ensure that they comply with such principles. Any violation of this Charter must be notified directly to Virbac.

Transparency is a prerequisite for good cooperation, and we want an open dialogue on issues concerning this Charter and our Code of Conduct. Any violation should be reported directly to the Virbac alert platform https://virbac.besignal.com/ accessible in Virbac corporate website.

For Partners who violate or do not comply with this Charter, Virbac may take measures such as suspending or terminating the contract.

6      Audit

6      审计

Virbac reserves the right at any time to mandate an auditor (under confidentiality agreement) or to audit the Partner directly, including visiting the Partner’s locations of business where goods or services are handled or produced for Virbac or where Virbac products to be resold are stored to ensure that the requirements and principles in this Charter and our Code of Conduct are complied with. The audit must take place during a time agreed with the Partner. The Partner must work actively towards ensuring Virbac can carry out visits on similar terms to the Partner’s subcontractors where goods or services are handled or produced for Virbac. The costs of the audits will be borne by Virbac. Virbac will notify the Partner of any audit with a minimum notice of fifteen (15) working days.

The Partner undertakes to cooperate in good faith with any auditor appointed.

合作伙伴承诺,将本着精诚合作的精神配合所任命的审计员。

The Partner will facilitate the access of the auditors to any document or information or other element useful for the smooth running of the audit mission and will facilitate the mission in particular by answering any question and by granting access to all the tools and means necessary for the audit. If it is discovered, on the occasion of an audit or from any other document of the Partner, or through external publications, evidence that the Partner has been guilty of acts in violation of the applicable principles defined by this Charter, Virbac will notify the Partner by any appropriate means and will have the possibility either to terminate immediately the business relationship with the Partner or to give formal notice to take the necessary measures within a reasonable time and to keep it informed of the measures taken. If no action is taken, or in case of repeated deviation, Virbac may in particular suspend or immediately terminate all relations with the Partner and take all necessary measures for the protection of Virbac’s rights.

By wishing to enter into business with Virbac, the Business Partner is informed in advance of the existence of this Business Partner Charter. This Charter is notably freely accessible on the Virbac website and must be considered as a mandatory prerequisite to work with Virbac. Therefore, by entering into business with Virbac, the Business Partner adheres to this Charter and undertakes to work in accordance with the principles set out above, throughout the duration of the qualification and selection process as well as the contractual relationship with Virbac.

The Partner also undertakes to inform and enforce the commitments of this Charter by all of their managers, representatives, employees, agents, and their own Partners, regardless of their status.

The Partner certifies that it is aware of the fact that non-compliance with the commitments of this Charter may lead to the suspension, or even the early termination of any existing agreement/contract with Virbac.

The Partner undertakes to notify Virbac quickly of any event or element that could lead to non-compliance with these commitments by using Virbac Signal portal to make an alert report.

Considering the above, by working with Virbac, whatever the nature of the operation, the Business Partner:

○      undertakes to respect the 10 principles of the United Nations Global Compact and the 8 fundamental International Labor Organization (ILO) conventions listed in the appendix,

○      acknowledges having read the Virbac Code of Conduct and undertakes to publicize and enforce the commitments of both the Virbac Partners Charter and the Virbac Code of Conduct by all of its employees, including temporary and interim staff, suppliers, its business partners and subcontractors,

○      declares that to its knowledge, apart from the cases which must be reported directly to compliance@virbac.com in written if any, no corporate officer, employee, shareholder or beneficial owner of Virbac likely to influence the commercial relationship with the Partner (i) is an employee, corporate officer, shareholder or beneficial owner of the Partner or of a company controlled by the Partner within the meaning of Article L. 233-3 of the Commercial Code, (ii) does not directly or indirectly maintain a business, commercial or financial relationship with the Partner, (iii) is not directly related to a person in the situations mentioned under (i) or (ii).

This declaration is legally binding on the Business Partner, any false or misleading declaration may incur the liability of the Business Partner and Virbac may take measures such as exclusion from a call for tender, suspending or terminating the contract.
